1. Provider and scope
Provider: TRIS Translation Bureau LLC, company code 39470402, 9 Hnata Yury Street, room 34-A, Kyiv 03148, Ukraine; office: 40/2 Volodymyrska Street, office 5, Kyiv 01054; tris.dir@gmail.com. These terms apply unless an individual agreement states otherwise.
2. Contract formation
The client sends materials or a task description. TRIS confirms scope, price, taxes, timing, deliverables and payment. Acceptance occurs by written confirmation, invoice payment or another expressly agreed action. TRIS may decline before acceptance if resources are unavailable, timing is unrealistic or the material is unlawful.
3. Client responsibilities
The client provides complete legible materials, the destination country and intended use, required terminology, and confirms the right to share content and personal data. Later changes may affect price and timing.
4. Price and payment
Price depends on language pair, volume, subject, format, urgency and third-party procedures. The quote states taxes, delivery and official or banking fees. Unless agreed otherwise, work starts after advance payment.
5. Timing and delivery
Timing begins after all materials, approvals and payment are received. Results are delivered digitally, collected at the office or sent by an agreed courier. Estimated timelines for government and consular procedures depend on third parties, are based on experience and practice, and are not guaranteed by TRIS.
6. Cancellation and withdrawal
Before work starts, paid amounts are returned less non-refundable costs already incurred. After work starts, the portion corresponding to work stages that have not yet begun may be refundable, less agreed costs. EEA consumers may have a 14-day withdrawal right for distance service contracts if TRIS has not yet begun the work. If the consumer asks TRIS to start work before this 14-day period ends and then withdraws, the consumer pays for the part of the service actually performed before TRIS receives the withdrawal notice. If the service is fully performed with the consumer’s prior express consent, the withdrawal right ends provided the consumer acknowledged this consequence in advance. Mandatory consumer rights prevail.
7. Quality and corrections
Reasoned quality comments should be submitted within 10 calendar days unless another period is agreed. Confirmed errors within the agreed and paid scope are corrected free of charge. New source material, a changed purpose or style preferences must be commissioned as additional work and paid for separately.
8. Rights and confidentiality
The client warrants rights to the source materials. Rights in a commissioned translation transfer after full payment to the extent permitted by law and contract. TRIS does not publish confidential materials without permission.
9. Liability and force majeure
Liability for proven direct loss is limited to the amount paid for the relevant order unless such limit is prohibited. TRIS is not responsible for authority decisions, rule changes, courier failures or incomplete client instructions. War, attacks, prolonged energy or communications failure and other uncontrollable events may extend timing; we will notify the client and propose options.
10. Law, disputes and language
Any conflicts or misunderstandings are to be resolved first through negotiation. Unless mandatory consumer law provides otherwise, Ukrainian law and competent Ukrainian courts apply. The Ukrainian version governs; English and Esperanto versions are informative translations.
